1.1 Creator will film and edit UGC video/photo content featuring the Client's product ("Content") as follows: quantity: [__] videos, length [15–30 s], format 9:16, language [PL/EN], captions: yes/no, raw footage: no/yes.
1.2 Client will provide the product and a brief by [date] and covers shipping costs. Creator [keeps / returns] the product.
2.1 Creator will deliver the Content within [3–5] business days after receiving the product and brief.
2.2 Client will send feedback within 5 business days of delivery. One revision round is included and is limited to matching the brief. Additional rounds or changes to the brief: [__] per round.
2.3 If no feedback is given within that period, the Content is deemed approved.
3.1 Fee: [amount] [EUR/USD/PLN] total / per video [amount], excluding taxes.
3.2 Payment: [50% upfront, 50% on delivery] / [100% on delivery], by bank transfer or [PayPal/platform] within [14] days of invoice.
3.3 The fee covers organic use only as defined in section 4. Late payment entitles Creator to withhold final files and to charge statutory interest.
4.1 Creator retains the copyright and grants Client a non-exclusive license to use the Content.
4.2 Organic use: posting on Client's own social accounts and website ([Instagram, TikTok, Facebook, YouTube, website]); reproduction, cropping and editing as needed for posting; email newsletters.
4.3 Territory: [worldwide / country]. Term: [12] months from first publication.
4.4 The license does not include paid advertising (boosted posts, Spark Ads, whitelisting/partnership ads, out-of-home, TV, print, packaging) or sublicensing. Paid use requires a separate written addendum and extra fee: [+30% per 30 days / [__]].
4.5 Client may not misrepresent the Content or use it in a way that harms Creator's reputation. Moral rights remain with Creator where applicable.
4.6 The license takes effect upon full payment.
The Content may include Creator's likeness and that of their child. Client will use it only as permitted in section 4 and will not use it for other products, to generate AI content, or to train AI models.
6.1 Creator warrants the Content is original and does not infringe third-party rights (excluding elements supplied by Client).
6.2 Client is responsible for the accuracy of product claims (especially health-related) and approves them in the brief. Creator will disclose the partnership where required by law and platform rules when posting on their own channels.
7.1 No exclusivity applies unless agreed separately: [product category, [__] days, additional fee [__]].
7.2 Both parties keep the financial terms confidential.
8.1 If Client cancels after work has started, Client pays [50%] of the fee, and 100% once filming is done.
8.2 If Creator is more than [7] days late through their own fault, Client may terminate and receive a refund of any deposit.
8.3 Creator's liability is limited to the fee, to the extent permitted by law.
9.1 Governing law: [Polish law / other]. Courts: [Creator's place of business / other agreed].
9.2 Amendments must be in writing (email is sufficient).
